1. Acceptance of terms

These Terms and Conditions (“Terms”) govern your use of the Apex Works Inc. (“Apex Works,” “we,” or “us”) website at meetapx.com and any associated services, including our transactional text-messaging program. By using the website or the SMS program, you agree to these Terms. If you do not agree, please do not use the website or the SMS program.

2. Use of the website

You may use the website for lawful, informational purposes related to evaluating or engaging Apex Works for residential or light commercial construction services. You may not use the website to violate any applicable law, infringe intellectual property rights, or interfere with the website’s operation or security. All content, trademarks, and logos on the website belong to Apex Works or its licensors.

3. SMS program terms

Apex Works operates a transactional SMS program for subcontractors, vendors, and personnel with whom it has an established business relationship. The program is used only to deliver operational notifications related to IRS tax reporting, such as W-9 requests, 1099-NEC amount confirmations, and Copy B delivery. Apex Works does not use the SMS program for marketing or promotional content.

• Program name: Apex Works Tax-Document Notifications.
• Opt-in: Phone numbers are provided during onboarding on a signed work agreement or vendor onboarding form that discloses their use for transactional tax-reporting notifications.
• Opt-out: Reply STOP to any message to unsubscribe. You will receive a confirmation and no further messages.
• Help: Reply HELP for assistance, or contact info@meetapx.com or (408) 364-6569.
• Message frequency: Message frequency varies based on active tax-reporting workflows and is generally limited to a few messages per recipient per tax year.
• Cost: Message and data rates may apply. Apex Works does not charge a fee for participation in the SMS program.
• Carriers:Supported carriers include AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, U.S. Cellular, MetroPCS, and others. Carriers are not liable for delayed or undelivered messages.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Opt-in data and consent information are not shared with any third parties. See our Privacy Policy for more detail.

4. Tokenized document links

Text messages sent by Apex Works may contain tokenized, time-limited links to complete or review IRS forms. You are responsible for keeping those links confidential and using them only on a device you control. If you believe a link has been compromised, contact us immediately so we can revoke and reissue it.

5. Construction services

Any construction work performed by Apex Works is governed by a separate written agreement between Apex Works and the client, including a scope of work, pricing, schedule, and change-order procedure. Nothing on this website constitutes a bid, offer, or binding commitment to perform work, and pricing or availability referenced on the website is illustrative.

6. Disclaimers and limitation of liability

The website and SMS program are provided “as is” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, Apex Works is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or SMS program, including delayed or undelivered messages.

7. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the website or SMS program will be brought exclusively in the state or federal courts located in San Diego County, California.

8. Changes to these terms

We may update these Terms from time to time. When we do, we will update the “Effective” date above. Continued use of the website or SMS program after an update constitutes acceptance of the revised Terms.
